1. Agreement

These Terms of Service ("Terms") govern your access to and use of the website gvdworks.com (the "Site") operated by GVD Holdings (HK) Limited (BR 78025335), registered at Unit 2A, 17/F, Glenealy Tower, No. 1 Glenealy, Central, Hong Kong S.A.R. ("GVDworks", "we", "us").

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site. These Terms should be read together with our Legal page, which contains additional provisions on intellectual property ownership, consulting disclaimers, and SaaS terms.

2. Services

GVDworks provides technology consulting, fractional CTO services, software development, and related advisory services to founder-led businesses. The specific scope, deliverables, and fees for any engagement are defined in a separate service agreement or statement of work between GVDworks and the client.

The Site also offers free tools (health checks, calculators, maturity assessments) and blog content for informational purposes only. These do not constitute professional advice.

3. Intellectual Property

All content on this Site — including text, graphics, logos, images, code, tools, and blog articles — is the property of GVD Holdings (HK) Limited or its content authors and is protected by applicable copyright and intellectual property laws.

You may:

• View and print pages for personal, non-commercial use.
• Share links to articles with proper attribution.

You may not:

• Reproduce, distribute, or republish content without prior written consent.
• Use our trademarks, logos, or branding without permission.
• Scrape, mirror, or systematically download content from the Site.

7. Limitation of Liability

To the maximum extent permitted by law, GVD Holdings (HK) Limited and its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site, including but not limited to loss of profits, data, or business opportunities.

Our total liability for any claim arising from or relating to the Site shall not exceed the amount you paid to us (if any) in the 12 months preceding the claim, or HKD 10,000, whichever is greater.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law (including the Hong Kong Control of Exemption Clauses Ordinance, Cap. 71). Nothing in these Terms affects the implied terms under the Hong Kong Supply of Services (Implied Terms) Ordinance (Cap. 457) to the extent they cannot be excluded.

8. Indemnification

You agree to indemnify and hold harmless GVD Holdings (HK) Limited, its directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Site or violation of these Terms.

9. Service Agreements

These Terms govern use of the Site only. Consulting engagements, development projects, and other professional services are governed by separate service agreements. 10. Privacy

Your use of the Site is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data.

11. Modifications

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. Continued use of the Site after changes constitutes acceptance of the revised Terms.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Hong Kong. 13. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
